Main job purpose: Responsible for operating all assigned activities according to the prescribed functions. Possess sound knowledge of laws and regulations relating to corporate operations, along with strong communication, planning and other professional skills required for a Legal Officer position. Perform the general legal and compliance duties as assigned.

Job Description:

  • Review contracts, legal documents, and other materials; provide advice on legal matters relating to the company’s operations.
  • Draft, review, and finalize legal dossiers for the establishment, licensing, amendment, or dissolution of company, investment funds managed by the company;
  • Conduct legal research, assess legal risks (Legal Due Diligence), and give advisory services regarding investment projects within the company’s operations
  • Monitor, analyze, and update laws and regulations relating to the securities market, corporate governance, investment, finance, and other legal matters relevant to the company’s activities.
  • Assist in drafting, amending, and updating internal policies, charters, and operational procedures.
  • Organize and coordinate company and funds’ meetings; prepare meeting agendas, minutes, resolutions and related documentation.
  • Prepare and execute mandatory periodic and extraordinary information disclosures and regulatory reports.
  • Liaise and work directly with the SSC, Stock Exchanges, Vietnam Securities Depository and Clearing Corporation (VSDC), and other competent state authorities regarding licensing, inspections or as requested.
  • Assist in handling legal disputes, complaints, or litigation to protect the lawful rights of the company and its investors.
  • Other tasks as assigned by the line manager.

Requirements:

  • Education: Bachelor’s degree in Law
  • 2+ years of working experience in a corporate on compliance or legal. Preferably having experience working in a fund management company or securities company.
  • Good knowledge of the finance industry and the stock market is a plus.
  • Good documentation skills.
  • Ability to absorb complex information, identify problems as they arise and understand when these need to be escalated.
  • Ability to work and learn quickly in a highly pressurized environment.
  • Detail oriented with strong risk awareness, strong analytic, problem-solving skills with strong understanding of the administrative process.
  • Good command in English, positive and creative thinking, team player.
  • Good MS Office skills (Word, Excel, PowerPoint)
  • Be able to handle work/time pressure in dealing multi-tasks, with “can do” and good attitude for people interaction & communication skills.
